Alken Fund SICAV

The Alken Fund, formerly named the Vauban Fund, is an open-ended investment company organised as a "société anonyme" under the laws of the Grand Duchy of Luxembourg and qualifies as a Société d’Investissement à Capital Variable ("SICAV") under Part I of the 2010 Law. Its object is to invest in transferable securities under the principle of risk spreading in accordance with, and as more fully described in, its Articles and the Prospectus.

01 Legal status and organization

The Alken Fund was incorporated for an indefinite period on 16th of November 2005, with an initial capital of EUR 31,000. Its Articles were published in Luxembourg Official Gazette on 14th of December 2005. The Fund is registered at the Trade and Companies Register of Luxembourg under the number B111.842.

The exclusive objective of the Fund is to place the funds available to it in transferable securities and other permitted assets of any kind with the purpose of spreading investment risks and affording its shareholders the results of the management of its portfolios, by offering them access to a world-wide selection of markets and a variety of investment techniques via a range of Sub-Funds catering for many different investment objectives.

The Directors of the Fund are responsible for the overall administration, control, and management of the Fund, including the determination of the investment objective and policies of each Sub-Fund. In particular, the Directors of the Fund are responsible for the monitoring and the overall supervision and control of the Management Company AFFM. To this effect, the Board of Directors may give board recommendations to the Management Company in relation to, without limitation, the structure, promotion, administration, investment management and distribution of the Company and the contents of any documentation relating to the Fund.
